Platform Operator: PROACEX GLOBAL MARKETING
1. Introduction and Acceptance
Welcome to My Happy Meal (“My Happy Meal”, the “Platform”, “we”, “us” or “our”).
My Happy Meal is a digital platform designed to facilitate school meal planning, meal ordering, payment administration, absence reporting, credit management and related school and canteen operations.
These Terms of Service (“Terms”) govern your access to and use of the Platform, including its website, user portals, features, content and related services.
By registering an account, accessing or using the Platform, or clicking an acceptance button where provided, you agree to these Terms and any applicable policies expressly incorporated into them.
If you do not agree to these Terms, you must not use the Platform.
If you register or use the Platform on behalf of a child, school, business or other organisation, you confirm that you have the authority to do so and to accept these Terms on its behalf where applicable.
2. Definitions
For the purposes of these Terms:
- “Platform Operator” means [Insert Full Legal Entity Name], the entity operating My Happy Meal.
- “Platform” means the My Happy Meal website, portals, software, systems and related services.
- “User” means any person accessing or using the Platform.
- “Parent” means a parent or legal guardian managing a child's account, meal plan, order or payment.
- “Student” means a child whose meal arrangements are managed through the Platform.
- “Canteen Owner” means an approved canteen operator authorised to manage menus and fulfil meal orders for an assigned school.
- “School Admin” means an authorised representative of a participating school.
- “System Admin” means an authorised person responsible for the administration of the Platform.
- “Meal Plan” means a selection of meals, portions and applicable add-ons for specified dates or meal sessions.
- “Order” means a meal purchase or booking submitted through the Platform.
- “Credit” means an eligible amount recorded for use against a future meal invoice or order in accordance with the applicable policy.
- “Third-Party Provider” means an independent service provider, including a payment processor, hosting provider, telecommunications provider or other external service provider.
3. The Platform Operator's Role
3.1 Platform Facilitation
My Happy Meal provides digital tools to facilitate meal planning, ordering, payment administration, absence reporting, credit records and communications between participating users.
Unless expressly agreed in a separate written agreement, the Platform Operator does not act as the school, the food preparer, the Canteen Owner, the bank or the payment service provider.
The Platform Operator does not automatically become a party to the underlying food-supply arrangement between a parent and a Canteen Owner merely because the order is placed through the Platform.
3.2 Independent Responsibilities
Depending on the relevant arrangement:
- The Canteen Owner is responsible for the accuracy of its menu and pricing information, food preparation, food handling, and fulfilment of meals.
- The school is responsible for its own school operations, authorised personnel, school-related decisions and information it independently controls.
- The Parent is responsible for reviewing meal selections, providing accurate information and making payments.
- The payment provider is responsible for the payment-processing services it independently supplies, subject to its agreement and applicable law.
- The Platform Operator is responsible for operating the Platform and performing its own contractual and legal obligations.
3.3 No Guarantee of Third-Party Performance
The Platform Operator does not guarantee the performance, availability, conduct or fulfilment of obligations by an independent school, Canteen Owner or Third-Party Provider.
4. Eligibility and Account Registration
4.1 Accurate Information
You must provide accurate, complete and current information when registering for and using the Platform. You must update relevant information when it changes.
You must not impersonate another person, create an account using another person's information without authority, or provide false or misleading information.
4.2 Account Approval
Certain accounts may require an invitation, verification or approval before access is granted.
The Platform Operator may reject or delay account activation where required information is missing, verification cannot be completed, or there are reasonable concerns about fraud, security or eligibility.
4.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and taking reasonable steps to protect your account.
You must notify the Platform Operator promptly if you suspect unauthorised access, loss of credentials or account misuse.
To the extent permitted by law, you are responsible for activity conducted through your account where that activity results from your breach of these Terms, failure to safeguard your credentials, or failure to report a known security issue promptly. This does not make you responsible for activity caused by the Platform Operator's own security failure or other circumstances for which you are not legally responsible.
4.4 One Account, One Authorised User
Accounts must be used only by their authorised users. You must not share accounts or transfer account access to another person unless the Platform expressly permits it.
The Platform Operator may introduce reasonable verification procedures to protect account security and prevent unauthorised access.
5. User Roles and Access Restrictions
The Platform provides different functions according to each authorised user's role.
5.1 Parents
Parents may be able to manage child profiles, view menus, select meals, submit orders, make payments, report absences and view eligible credits and transaction records.
Parents must ensure that the information they submit is accurate and that they have the authority to manage the relevant child's information and meal arrangements.
5.2 Canteen Owners
Canteen Owners may manage menus, prices, portions, add-ons, meal availability, orders and authorised operational records for their assigned school.
A Canteen Owner may access only the school and information authorised for that account. Accessing or attempting to access another school's data is prohibited.
Canteen Owners must use student and parent information only for legitimate, authorised school-meal operations and must not use such information for unrelated marketing, personal purposes or unauthorised disclosure.
5.3 School Administrators
School Admin accounts may access school-related information and administrative functions permitted by their assigned role.
School Admin users must protect student and parent information, maintain appropriate access controls and use information only for authorised school purposes.
5.4 System Administrators
System Admin accounts may have broader access to perform platform administration, support, security, troubleshooting and other authorised functions.
System Admin users must use their privileges only when necessary for legitimate administrative purposes and must maintain confidentiality.
5.5 Access Enforcement
The Platform Operator may implement, amend or enforce reasonable access restrictions to protect users and their information. Users must not circumvent, disable or interfere with those restrictions.
6. Meal Menus, Pricing and Information Accuracy
6.1 Menu Information
Menus, meal names, descriptions, prices, portions, add-ons and availability may be provided or maintained by Canteen Owners or other authorised parties.
The relevant provider is responsible for ensuring that information it submits is accurate and current.
The Platform Operator may display information supplied by those parties and is not required to independently verify every menu item or price. However, the Platform Operator may investigate reported errors and correct or remove information where reasonably necessary.
6.2 Pricing and Changes
The price payable for an order will generally be the amount displayed for that order before confirmation or payment, subject to clearly disclosed adjustments, corrections or applicable legal requirements.
If a material pricing or menu error is identified, the Platform Operator or relevant Canteen Owner may need to correct the information, contact affected users or cancel an affected order where lawful and appropriate.
No user will be charged an undisclosed additional amount merely because an error is discovered. Any necessary correction, additional payment, cancellation or refund must be handled in accordance with applicable law and the relevant order arrangements.
6.3 Language and Translations
The Platform may display information in English and Simplified Chinese. Translations are intended to assist users in understanding the service.
Where a translation contains a material discrepancy, the responsible party should promptly correct it. For legally significant matters, users may contact support for clarification.
7. Meal Plans and Orders
7.1 Selecting Meals
Parents may select available meals, portions and add-ons for the dates and meal sessions displayed on the Platform.
Parents must review their selections, quantities, applicable prices and total amount before confirming an order.
7.2 Drafts and Confirmed Orders
Saving a draft or selecting meals without completing the required confirmation steps does not necessarily create a confirmed order.
Where the Platform requires confirmation for individual days or meal selections, only selections confirmed through the applicable process will be included in the confirmed order total.
An order's status will be determined by the relevant records maintained by the Platform, subject to correction of a verified system error.
7.3 Ordering Deadlines
The Platform or relevant school or Canteen Owner may specify a deadline for placing or modifying orders.
After the deadline, new selections or changes for the affected service period may no longer be accepted. The Platform may hide the affected service period from new meal selections.
Parents are responsible for checking the applicable deadline before submitting or modifying an order.
7.4 Changes After Confirmation
Changes to confirmed orders are subject to the ordering deadline, meal preparation status and the relevant provider's arrangements.
After the deadline or commencement of meal preparation, a change may not be possible. A request is not effective unless accepted through the Platform or confirmed by the authorised party.
7.5 Order Records
The Platform may maintain order records, meal details, prices, status changes and relevant communications for administration, reconciliation, support, dispute resolution, fraud prevention and legal compliance.
Where records contain a demonstrable error, the Platform Operator may correct the error while maintaining appropriate audit records.
7.6 Unavailable Meals
If a confirmed meal cannot be supplied because of stock shortages, supplier issues, school closures, safety concerns or other operational disruptions, the responsible Canteen Owner or school should inform affected users and coordinate an appropriate resolution.
Depending on the circumstances, the resolution may involve a replacement meal, credit, rescheduling or refund, subject to applicable law and the relevant arrangements.
The Platform Operator may assist with communications and records but does not guarantee the availability of meals prepared or supplied by independent providers.
8. Payments and Transaction Records
8.1 Currency and Amounts
Unless otherwise stated, the Platform displays prices and amounts in Malaysian Ringgit (MYR).
Users must review the displayed order total before proceeding to payment.
8.2 Payment Processing
Payments may be processed by a Third-Party Provider. The provider's own terms and policies may apply to the payment service.
The Platform Operator does not control the internal processing systems of an independent payment provider and cannot guarantee that a payment will be approved or settled within a particular timeframe.
8.3 Verification of Payment
An order will be treated as paid only when the Platform has received and verified the relevant payment status through its authorised process.
A screenshot, browser redirect, payment initiation message or unverified transaction reference does not by itself establish that payment has succeeded.
8.4 Failed, Pending or Duplicate Payments
If a payment is pending, declined, reversed or not reflected correctly, the user should check the transaction status and contact support with the relevant reference.
Where a payment has been deducted but the order remains unpaid, the Platform Operator may investigate using available transaction records and coordinate with the payment provider or relevant parties.
Confirmed duplicate payments or erroneous charges will be reviewed and resolved in accordance with the applicable payment arrangements and law.
8.5 Payment Disputes
Users must provide accurate information when reporting a payment dispute and cooperate reasonably with verification.
The Platform Operator may review order logs, transaction references, payment-provider responses and other relevant records to investigate a dispute.
Nothing in this section prevents a user from exercising a legal right to challenge an unauthorised or incorrect transaction.
9. Absence Reporting and Credits
9.1 Absence Reporting Deadline
Where absence reporting is available, parents may report a student's absence through the designated Platform function.
Unless another rule is expressly displayed for the relevant service, the standard deadline is before 7:00 a.m. Malaysia Time (Asia/Kuala_Lumpur) on the day of the affected meal.
Reports submitted at or after 7:00 a.m. on the affected day are not eligible under the standard absence-credit rule. Reports for past dates are not accepted through the ordinary absence-reporting function. Future dates may be reported where the feature permits.
9.2 Credit Eligibility
An absence report does not automatically guarantee a credit.
Eligibility depends on the reporting deadline, the relevant order, the meal service affected, the records available and the applicable policy.
Where a credit is approved, its amount will be calculated according to the applicable policy and the eligible meal, portion and add-ons.
9.3 Use of Credits
Unless otherwise stated in the applicable policy, approved credits are intended to be applied to an eligible future month's meal invoice or order.
Credits:
- Are not cash and cannot be withdrawn or transferred unless expressly permitted.
- Cannot be claimed more than once for the same eligible meal.
- May be corrected if a duplicate, calculation error or fraudulent claim is identified.
- May be subject to expiry only where a valid expiry rule has been clearly disclosed.
The Platform Operator may investigate suspected duplicate or fraudulent credit claims and make reasonable corrections supported by the relevant records.
10. Cancellations and Refunds
Cancellation, refund and adjustment eligibility depends on the order status, ordering deadline, whether meal preparation has commenced, the reason for the request, the relevant school or Canteen Owner arrangements and applicable law.
Users should review any cancellation or refund conditions shown before confirming an order.
Where a refund is approved, it may be returned through the original payment method or another lawful method agreed by the relevant parties. Processing time may depend on the payment provider or financial institution.
The Platform Operator may assist in recording and coordinating refunds but does not guarantee the processing time of an independent financial institution.
Nothing in these Terms excludes or restricts any mandatory refund, remedy or consumer right that cannot lawfully be excluded or restricted.
11. Food Safety, Allergies and Dietary Requirements
The relevant Canteen Owner or food provider is responsible for food preparation, food handling, food hygiene, allergen information and compliance with applicable food-related laws.
The Platform Operator does not prepare meals merely by providing the digital ordering service.
Users should verify important dietary requirements directly with the responsible food provider.
Parents must communicate known allergies, intolerances and other critical dietary requirements directly to the school or Canteen Owner and obtain confirmation that the requirements can be accommodated.
My Happy Meal does not guarantee that a meal is free from a particular allergen or cross-contamination.
If a food safety concern arises, users should promptly contact the school or food provider. Emergencies should be referred to the appropriate emergency services.
12. Acceptable Use and Prohibited Conduct
You must not:
- Use the Platform for unlawful, fraudulent, deceptive or unauthorised purposes.
- Submit false information, payment evidence, absence reports or credit claims.
- Access or attempt to access another person's account or information without authorisation.
- Access or attempt to access a school outside your authorised assignment.
- Circumvent authentication, access controls or security measures.
- Introduce malicious code, malware or harmful material.
- Interfere with the Platform's operation, availability or security.
- Scrape, copy, resell or commercially exploit the Platform's content or data without authorisation.
- Use student or parent information for unrelated marketing or unauthorised contact.
- Harass, threaten, defame or unlawfully harm another user.
- Infringe intellectual property, confidentiality or privacy rights.
- Use the Platform in a manner that may expose the Platform Operator, a school, a Canteen Owner or another user to unlawful activity or material security risk.
The Platform Operator may investigate suspected violations and take proportionate action, including restricting access, preserving relevant records or referring the matter to an appropriate authority where legally justified.
13. Personal Data and Privacy
Your use of the Platform is also governed by the My Happy Meal Privacy Policy.
The Privacy Policy explains how personal data is collected, used, disclosed, retained and protected. Where consent is required by law, it will be obtained through the relevant consent process.
Parents who submit information about a child confirm that they have the necessary authority to provide that information for the relevant purpose.
Users must not misuse personal data obtained through the Platform or disclose it to unauthorised persons.
The Platform Operator may use appropriate access controls, security measures and service providers to operate the Platform. No online system can guarantee absolute security, and users must also take reasonable steps to protect their accounts.
14. Third-Party Services
The Platform may rely on third-party services, including payment processing, hosting, telecommunications, email, messaging, analytics and other technical services.
The availability and performance of those services may be outside the Platform Operator's direct control.
Where a third-party service fails or is interrupted, the Platform Operator may take reasonable steps to restore functionality, investigate the issue or provide an alternative process where practicable.
The Platform Operator is not responsible for an independent third party's acts or omissions.
Links to third-party websites do not constitute an endorsement of those websites or a guarantee of their content or practices.
15. Intellectual Property
Unless otherwise stated, the Platform and its software, interface, branding, design, text, graphics, documentation and other original materials are owned by or licensed to the Platform Operator throughout the whole world.
Subject to these Terms, users are granted a limited, non-exclusive, non-transferable and revocable right to use the Platform for its intended school-meal and administrative purposes.
You must not, except where permitted by law or authorised in writing:
- Copy, modify, distribute or commercially exploit the Platform.
- Reverse engineer, decompile or attempt to obtain source code, except to the extent a legal right to do so cannot be excluded.
- Remove copyright, branding or proprietary notices.
- Use the Platform's name, logo or materials in a manner that implies unauthorised endorsement.
- Use the Platform or its content to build or market a competing service through unauthorised copying.
16. Confidentiality and Data Misuse
Users who can access confidential school, parent, student or business information must keep that information confidential and use it only for authorised purposes.
You must not sell, publish, distribute or disclose confidential information obtained through the Platform without proper authority or a lawful basis.
Where a user discovers or suspects unauthorised access, disclosure or misuse, the user must promptly notify the relevant organisation or the Platform Operator.
The Platform Operator may restrict access, investigate the incident and take other reasonable steps to protect affected users and organisations, subject to applicable law.
17. Platform Availability, Maintenance and Changes
The Platform Operator will take reasonable steps to maintain the Platform but does not guarantee uninterrupted, error-free or continuous availability.
The Platform may be temporarily unavailable because of maintenance, upgrades, security measures, technical faults, network failures, third-party service interruptions or circumstances beyond reasonable control.
The Platform Operator may modify, improve, suspend or discontinue features where reasonably necessary for operational, security, legal or business reasons.
Where a material change affects existing orders or user rights, reasonable notice will be provided where practicable and legally required.
The Platform Operator may correct technical or administrative errors and may temporarily restrict affected functions while investigating an issue.
18. Disclaimers
To the extent permitted by applicable law:
- The Platform is provided subject to its availability and the limitations of the underlying technology.
- The Platform Operator does not warrant that the Platform will always be available, completely error-free or compatible with every device or system.
- The Platform Operator does not independently guarantee the accuracy of every menu, price, description or record submitted by a user or independent provider.
- The Platform Operator does not guarantee meal availability or the performance of an independent school, Canteen Owner, payment provider or other third party.
- Electronic notifications may be delayed, filtered or not delivered because of email, network, device or third-party service issues.
- Records and reports are intended to support administration and should be checked by authorised users where a material decision depends on them.
19. Limitation of Liability
To the maximum extent permitted by applicable law, the Platform Operator will not be liable for indirect, incidental, special or consequential losses, including loss of profits, business opportunities, goodwill or data, arising from or in connection with the use of the Platform, where such loss is legally excludable.
To the extent permitted by law, the Platform Operator will not be liable for loss caused solely by:
- Incorrect or incomplete information supplied by a user or independent provider.
- A user's failure to protect account credentials or follow reasonable security instructions.
- A third-party payment, telecommunications, hosting or other external service failure.
- An independent Canteen Owner's food preparation, food handling or failure to fulfil an order.
- A school or independent provider's operational decision or omission.
The Platform Operator remains responsible for its own acts and omissions to the extent required by applicable law.
20. Indemnity
To the extent permitted by law, a user may be responsible for reasonable losses, liabilities, claims and expenses directly arising from that user's:
- Fraudulent or unlawful conduct.
- Material breach of these Terms.
- Unauthorised use or disclosure of another person's personal or confidential information.
- Infringement of a third party's intellectual property rights.
- Misuse of the Platform that causes damage to the Platform Operator or another party.
21. Suspension and Termination
21.1 Suspension
The Platform Operator may temporarily restrict or suspend an account or function where reasonably necessary to:
- Protect the security of the Platform or users.
- Investigate suspected fraud, unauthorised access or misuse.
- Address a material breach of these Terms.
- Comply with applicable law or a lawful authority request.
- Prevent imminent harm or material operational disruption.
Where practicable and legally permitted, the affected user will be notified and given an opportunity to respond or resolve the issue.
21.2 Termination
The Platform Operator may terminate an account for a material or repeated breach, fraud, unlawful activity, serious security risk, legal requirement or discontinuation of the relevant service.
Where reasonably practicable and legally permitted, the Platform Operator will provide notice before termination.
21.3 User Account Closure
A user may request account closure through proacex.group@gmail.com, subject to applicable verification, outstanding transactions and legal obligations.
Account closure does not automatically cancel existing orders, settle outstanding payments, entitle a user to a refund or eliminate valid obligations.
Relevant records may be retained where necessary for legal compliance, accounting, security, fraud prevention, dispute resolution or other purposes permitted by the Privacy Policy and applicable law.
22. Force Majeure
To the extent permitted by law, the Platform Operator will not be responsible for a delay or failure to perform an obligation where the delay or failure is caused by circumstances beyond its reasonable control, including natural disasters, epidemics, government restrictions, civil disturbances, widespread network failures, utility outages, cyberattacks or major third-party service disruptions.
The Platform Operator will take reasonable steps to mitigate the effects of such circumstances and resume affected services where practicable.
23. Changes to These Terms
The Platform Operator may update these Terms to reflect changes in the Platform, services, operations or applicable law.
The latest version will be published through the Platform with an updated “Last Updated” date.
Where a change materially affects users' rights or obligations, reasonable notice or renewed acceptance will be provided where appropriate or legally required.
Where renewed acceptance is legally required, continued use of the Platform will not replace that requirement.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia.
If a dispute arises, the parties should first attempt to resolve it in good faith by contacting:
Support Email: proacex.group@gmail.com
If the dispute cannot be resolved informally, it may be referred to the competent courts of Malaysia, subject to applicable mandatory dispute-resolution procedures and consumer rights.
25. General Provisions
25.1 Entire Agreement
These Terms, together with the Privacy Policy and any policies or order-specific conditions expressly incorporated into them, govern the use of the Platform.
A separate written agreement between the Platform Operator and a school, Canteen Owner or other organisation may govern their commercial relationship. If there is a conflict, the relevant agreement will prevail for that relationship to the extent expressly agreed and legally permitted.
25.2 Severability
If a provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary where legally permitted. The remaining provisions will continue to apply.
25.3 No Waiver
Failure to enforce a provision does not constitute a permanent waiver of that provision.
25.4 Assignment
Users may not transfer their accounts or rights under these Terms without the required authorisation.
The Platform Operator may transfer its rights and obligations as part of a lawful business restructuring, merger or transfer of relevant assets, subject to applicable law and appropriate protection of users' rights.
25.5 Language
These Terms are provided in English and Simplified Chinese for user convenience. The two versions are intended to have the same meaning. If a material discrepancy is identified, the Platform Operator will seek to clarify and correct it promptly. The controlling language, if legally necessary, should be specified after Malaysian legal review.
